These Terms and Conditions form a binding legal agreement between you and us and apply to your use of any of our Games or our Platform in any way, through any electronic device (web, mobile, tablet or any other device).
PLEASE NOTE THAT THESE TERMS AND CONDITIONS INCLUDE A PROVISION WAIVING THE RIGHT TO PURSUE ANY CLASS, GROUP OR REPRESENTATIVE CLAIM AND REQUIRING YOU TO PURSUE PAST, PENDING, AND FUTURE DISPUTES BETWEEN YOU AND US THROUGH INDIVIDUAL ARBITRATION UNLESS YOU OPT OUT WITHIN THE SPECIFIED TIME FRAME. SEE CLAUSE 24 FOR MORE INFORMATION.
You must read these Terms and Conditions carefully in their entirety before checking the box for acceptance. By checking the box for acceptance during the registration process, or by accessing the Games or creating a Customer Account, you confirm that you have read and agree to be bound by these Terms and Conditions, which include and are inseparably linked to our Privacy Policy, Responsible Social Gameplay Policy, Sweepstakes Rules and other game-specific or promotion-specific terms relevant to your Participation.
If you do not agree with any provision of these Terms and Conditions or any other linked policy, rules or terms, you may not install or use the Platform or play any Game.
NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. FREE ALTERNATIVE METHODS OF ENTRY ARE AVAILABLE AS DESCRIBED IN THE SWEEPSTAKES RULES.

WHERE YOU REDEEM PRIZES FOR CASH, SUCH PRIZES WILL BE PAID TO THE PAYMENT METHOD FROM WHICH YOU PURCHASED GOLD COINS, AND IF THIS IS NOT TECHNICALLY POSSIBLE, THEN THROUGH AN ELECTRONIC PAYMENT TO THE BANK ACCOUNT YOU HAVE DESIGNATED.
1. DEFINITIONS
Collective Arbitration means any claim as part of a class, group, collective, coordinated, consolidated, mass, or representative proceeding.
Content means text, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, sounds, music, artwork, computer code and other material used, displayed or available as part of the Games and Platform. Content includes Gold Coins and Sweeps Coins.
Customer Account means an account held by a Registered Customer.
Excluded Territory means the states of California, Connecticut, Delaware, Idaho, Louisiana, Michigan, Montana, Nevada, New Jersey, New York, Tennessee, and Washington
as well as any outlying U.S. territories or possessions, and any other jurisdiction outside of the United States.
Fraudulent Conduct means any of the conduct described in clause 11.1.
Game means any one or more Game(s) available on the Platform in either Standard Play or Promotional Play. We reserve the right to add and/or remove Games from the Platform (including limiting their availability in certain jurisdictions) at our sole discretion for any reason.
Gold Coin and/or Fun Coin means the virtual social gameplay token which enables you to play the Standard Play Games. Gold Coins have no monetary value and cannot under any circumstance be redeemed for prizes.
Inactive Account means a Customer Account which has not recorded any log in or log out for a period exceeding 6 consecutive months.
Participate means playing any Games or using our Platform in any manner whatsoever, including any of the conduct described in clause 3.
Payment Administration Agent means the service provided through any related body corporate, affiliate, or third party we appoint to act as our agent, including but not limited to UPTOWN.
Payment Method means any card, online wallet, financial/bank account or other payment method used to purchase Gold Coins.
Platform means the services provided through any URL or mobile application belonging to, or licensed to, UPTOWN, and branded as part of the UPTOWN family of games, including the website located at www.Uptownsweeps.com and all subdomains, subpages and successor sites thereof, as well as all Games, features, tools and services available thereon.
Player or you mean any person who Participates, whether or not a Registered Customer.
Player Support Team performs the player support function referred to in this document or any linked policies
Prizes means prizes won when playing Promotional Play Games which are redeemable for valuable prizes in accordance with the Sweepstakes Rules.
Promotional Play means participation in our sweepstakes promotions by playing any games on the Platform with Sweeps Coins.
Registered Customer means a Player who has successfully registered a Customer Account, whether that account is considered active or not.
Standard Play means participating in any game on the Platform played with Gold Coins. We may give you Gold Coins free of charge when you sign up to a Platform and thereafter at regular intervals when you log into a Platform. You may win more Gold Coins when you play in Standard Play, and you may purchase more Gold Coins on the Platform. You cannot win prizes when you Participate in Standard Play.
Sweeps Coins means sweepstakes entries subject to the Sweepstakes Rules. We may give you Sweeps Coins free of charge when you sign up to a Platform, as a bonus when you purchase Gold Coins or via each of our free alternative methods of entry as set out in the Sweepstakes Rules. You may win more Sweeps Coins when you Participate in Promotional Play. YOU CANNOT PURCHASE SWEEPS COINS.
Sweepstakes Rules means the Sweepstakes Rules available on the Platform.
Terms and Conditions means these terms and conditions, as amended from time to time.
Third Party Website means a third-party website not controlled by us.
UPTOWN LLC, UPTOWN, we, us or our means UPTOWN and related parties.
2. LICENSING AND THE PROTECTION OF FUNDS
2.1. The Platform is owned and operated by UPTOWN LLC (“UPTOWN” or “Company”). All payments are processed by the Payment Administration Agent it appoints. The sweepstakes promotions and Prizes are offered and operated by UPTOWN as a sweepstakes operator.
2.2. Funds equal to the aggregate value of Prizes which Registered Customers have chosen to leave unredeemed are held by UPTOWN in accounts separate from its business account. This means that steps have been taken to protect such funds, but that in the event of insolvency there is no absolute guarantee that any Prizes which you have not yet redeemed will be allocated or paid to you.
3. YOUR PARTICIPATION
Restrictions
3.1. By participating you declare, represent, and warrant that:
(a) you are at least 18 years of age or older, or such higher minimum legal age of majority as stipulated in the jurisdiction of your residence, and are, legally permitted under all applicable laws to participate in the Games offered on the Platform;
(b) WHEN PARTICIPATING IN:
• STANDARD PLAY: YOU DO NOT RESIDE IN OR ACCESS THE PLATFORM FROM ANY EXCLUDED TERRITORIES; AND
• PROMOTIONAL PLAY: YOU DO NOT RESIDE IN OR ACCESS THE PLATFORM FROM ANY EXCLUDED TERRITORIES AND MEET ELIGIBILITY REQUIREMENTS IN THE SWEEPSTAKES RULES;
(c) you participate in the Games strictly in your personal capacity for recreational and entertainment purposes only;
(d) you participate in the Games on your own behalf and not on the behalf of any other person;
(e) you are not a politically exposed person (“PEP”) as defined by applicable anti-money laundering regulations;
(f) you are not listed on any government sanctions list or designated as a restricted party by any governmental authority;
(g) all information that you provide to us during the term of validity of these Terms and Conditions is true, complete and correct, and you will immediately notify us of any change to such information;
(h) all funds you use to purchase Gold Coins are from legitimate sources and do not originate from illegal activities or ill-gotten means;
(i) you will only purchase Gold Coins from a personal valid Payment Method , which lawfully belongs to you, registered in your own legal name, not from any business or corporate account;
(j) you will not be involved in any fraudulent, collusive, fixing or other unlawful activity in relation to your or third parties’ participation in any of the Games and you will not use any software-assisted methods or techniques (including but not limited to bots designed to play automatically, scripts, automation tools, or any artificial intelligence) or hardware devices for your participation in any of the Games. We reserve the right to invalidate any participation in the event of such behavior;
(k) you will not sell or trade for value, or seek to sell or trade for value, or accept as a sale or trade for value, any Merchandise provided to you by UPTOWN .
3.2. GOLD COIN PURCHASES MADE FROM WITHIN THE STATES OF California, Connecticut, Delaware, Idaho, Louisiana, Michigan, Montana, Nevada, New Jersey, New York, Tennessee, and Washington
3.3. IN THE UNITED STATES OF AMERICA WILL BE VOIDED AND REFUNDED, MINUS AN ADMINISTRATIVE FEE OF UP TO 10% OF THE TOTAL PURCHASES MADE BY THE PLAYER, IN ADDITION TO ANY CHARGES THAT MAY BE LEVIED BY THE BANK OR FINANCIAL INSTITUTION MANAGING THE AFOREMENTIONED REVERSAL.
3.4. It is a Player’s responsibility to ensure that their Participation is lawful in their jurisdiction. Any person who is knowingly in breach of clause 3, including any attempt to circumvent this restriction, for example, by using a VPN, proxy or similar service that masks or manipulates the identification of your real location, or by otherwise providing false or misleading information regarding your location or place of residence, or by Participating from an Excluded Territory or through a third party or on behalf of a third party located in an Excluded Territory, is in breach of these Terms and Conditions. You may be committing fraud and may be subject to criminal prosecution, civil liability, and immediate account termination with forfeiture of all Gold Coins, Sweeps Coins, and Prizes.
Eligible Players
3.5. Employees of UPTOWN, any of their respective affiliates, subsidiaries, holding companies, advertising agencies, or any other company or individual involved with the design, production, execution or distribution of the Games and their immediate family (spouse, parents, siblings and children, whether the relationship is by birth, marriage or adoption) and household members (people who share the same residence at least 3 months of the year) are not eligible to Participate.
4. LICENCE
4.1. Subject to your agreement and continuing compliance with these Terms and Conditions, UPTOWN grants you a personal, non-exclusive, non-transferable, non- sublicensable, revocable, limited license to access and use the Platform and the Content through a supported Web browser or mobile device, solely for your personal, private entertainment and for participation in our sweepstakes promotions, and for no other reason. This license may be revoked by UPTOWN at any time, for any reason or no reason, with or without notice, at UPTOWN’s sole discretion.
4.2. These Terms and Conditions do not grant you any right, title or interest in the Platform, Content Gold Coins, Sweeps Coins, or any other aspect of the Platform. All intellectual property rights in and to the Platform and Content, including but not limited to copyrights, trademarks, service marks, trade secrets, patents, and any other proprietary rights, remain the sole and exclusive property of UPTOWN and its licensors. You may not copy, modify, distribute, sell, lease, or create derivative works based on the Platform or Content without UPTOWN 's prior written consent.
4.3. You acknowledge and agree that your license to use the Platform is limited by these Terms and Conditions and if you do not agree to, or act in contravention of, these Terms and Conditions, your license to use the Platform (including the Games and Content) may be immediately terminated without prior notice, and UPTOWN may, in its sole discretion, suspend or permanently terminate your Customer Account, forfeit any Gold Coins, Sweeps Coins, or Prizes, and deny you access to the Platform.
4.4. Where the Platform or any Game is deemed to be illegal under the laws of the jurisdiction in which you reside or are situated, or if UPTOWN determines that offering that Platform or any Game in your jurisdiction creates legal or regulatory risks, you will not be granted any license to, and must immediately cease and refrain from accessing, the Platform or relevant Game.
5. YOUR CUSTOMER ACCOUNT
Single Account
5.1. Each individual is permitted to create and maintain only one (1) Customer Account on https://Uptownsweeps.com/. Multiple accounts by the same person or by different individuals residing at the same household or postal address are strictly prohibited. This restriction extends to all accounts sharing the same postal address, household, IP address, device, device fingerprint, geolocation data, or payment method. Sharing or reusing the same payment method (such as credit cards, bank accounts, or e-wallets) across multiple accounts is not allowed and will be deemed a violation of these Terms and Conditions. UPTOWN reserves the right to request verification of any payment method used on the platform at any time and failure to provide such verification may result in account suspension or termination.
5.2. To ensure compliance, UPTOWN utilizes advanced verification procedures, including, but not limited to, government-issued photo identification, biometric or facial recognition, device fingerprinting, and real-time geolocation tracking, and third-party identity verification services. All users must be at least 18 years of age (or the age of majority in their jurisdiction, whichever is higher) and must complete a thorough identity verification process before participating in any gaming or promotional activities. Any attempt to circumvent these restrictions - such as by providing false information, using VPNs or proxies, manipulating device or location data, or sharing payment methods - will result in immediate suspension or permanent termination of all related accounts and forfeiture of any and all Gold Coins, Sweeps Coins, Prizes, balances, or entitlements without refund or compensation. UPTOWN reserves the right to request additional documentation or conduct further verification checks at any time and for any reason to confirm compliance with these Terms and Conditions, at its sole and absolute discretion.
5.3. You must notify us immediately through the Player Support Team if you discover that you have more than one registered Customer Account, whether active or inactive, on any one Platform. Upon such notification, UPTOWN will, at its sole discretion, determine which account (if any) will remain active, and may consolidate, suspend, or permanently close duplicate accounts and forfeit any associated balances. DO NOT CREATE A NEW CUSTOMER ACCOUNT IF YOU WISH TO CHANGE YOUR EMAIL, ADDRESS OR SURNAME. Contact the Player Support Team for assistance with updating your account details.
Accuracy
5.4. You are required to keep your registration details up to date at all times. If you change your address, email, phone number or any other contact or payment details or personal information contact Customer Support via the Player Support Team to update your details. The name that you provide to us at registration must be identical to that listed on your government-issued identification. Any discrepancy between your registered name, government identification, and payment method information may result in account suspension, payment delays, or permanent account termination at UPTOWN's sole discretion.
Security and Responsibility of Your Customer Account
5.5. As part of the registration process, you will have to choose a password to login into the Platform, unless you login to your Customer Account using Google, Facebook or any other third-party login method available, in which case your Google, Facebook or any other third party’s password will apply. You acknowledge that use of third-party login methods does not diminish your responsibility for account security.
5.6. It is your sole and exclusive responsibility to ensure that your Customer Account login details and any Payment Method s are kept secure and are only accessible by you. You accept full responsibility for any unauthorized use of your Customer Account and any activity linked to your Customer Account, including by a minor (which in all events is prohibited). This responsibility extends to all transactions, purchases, gameplay, Prize redemptions, and any other activities conducted through your Customer Account, regardless of whether you authorized such activities.
5.7. You must not share your Customer Account or password with another person, let anyone else access or use your Customer Account or do any other thing that may jeopardize the security of your Customer Account. Sharing your Customer Account credentials with any third party, including family members, friends, or household members, constitutes a material breach of these Terms and Conditions and may result in immediate account termination and forfeiture of all Gold Coins, Sweeps Coins, and Prizes.
5.8. If you become aware of, or reasonably suspect that security in your Customer Account has been compromised, including loss, theft or unauthorized disclosure of your password and Customer Account details, you must notify us immediately through the Player Support Team. Failure to promptly report suspected security breaches may result in you being held fully liable for all unauthorized activities and UPTOWN may, in its sole discretion, refuse to reverse or reimburse any unauthorized transactions.
5.9. You are solely responsible for maintaining the confidentiality of your password and you will be held responsible for all uses of your Customer Account, including any purchases made under the Customer Account, whether those purchases were authorized by you or not. UPTOWN will not be liable for any losses, damages, or expenses incurred as a result of unauthorized access to your Customer Account due to your failure to maintain adequate security measures.
5.10. You are solely responsible for anything that happens through your Customer Account, whether or not you undertook those actions. You acknowledge that your Customer Account may be terminated if someone else uses it and engages in any activity that breaches these Terms and Conditions or is otherwise illegal.
5.11. We are not responsible for any abuse or misuse of your Customer Account by third parties due to your disclosure of your login details to any third party, whether such disclosure is intentional or accidental, active or passive. You agree to indemnify, defend, and hold harmless UPTOWN from any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to any unauthorized use of your Customer Account resulting from your failure to maintain the security and confidentiality of your login credentials.
Account Transfers
5.12. You may not transfer Gold Coins or Sweeps Coins between Customer Accounts, or from your Customer Account to other players, or to receive Gold Coins or Sweeps Coins from other Customer Accounts into your Customer Account, or to transfer, sell or acquire Customer Accounts. You may not gift, loan, barter, trade, or otherwise provide Gold Coins, Sweeps Coins, Prizes, or any other Platform benefits to any third party, nor may you accept such items from any third party. You may not use your Customer Account for the benefit of any third party or allow any third party to benefit from your Customer Account. Any attempt to circumvent these prohibitions is ground for immediate closure of your Customer Account, without prejudice to any other rights or remedies available to us. In the event of such violation, UPTOWN reserves the right to: (a) immediately terminate all related Customer Accounts involved in the prohibited transfer or transaction; (b) forfeit all Gold Coins, Sweeps Coins, and Prizes in all affected accounts without refund or compensation; (c) void any pending Prize redemptions; (d) recover any Prizes already distributed; and (e) pursue any and all legal remedies available, including but not limited to claims for fraud, breach of contract, and unjust enrichment. You acknowledge that any attempted or completed transfer is void ab initio (void from the beginning) and confers no rights or benefits upon any party
Inactive Customer Accounts
5.13. We reserve the right to close your Customer Account if it is deemed to be an Inactive Account. Upon closure of an Inactive Account, UPTOWN may, at its sole discretion: (a) forfeit any remaining Gold Coins in the account; (b) expire any unredeemed Sweeps Coins in accordance with the Sweepstakes Rules; (c) cancel any pending Prize redemptions; and (d) permanently delete your account information in accordance with our data retention policies. UPTOWN will make reasonable efforts to notify you via the email address associated with your Customer Account prior to closing an Inactive Account, but is not obligated to do so. You acknowledge that it is your responsibility to maintain account activity and to redeem any Prizes in a timely manner. UPTOWN will not be liable for any Gold Coins, Sweeps Coins, or Prizes lost due to account inactivity.
Closing of Customer Accounts
5.14. If you wish to close your Customer Account, you may do so at any time by selecting the “Contact Us” link on the Platform and submitting a request to close your Customer Account. Closing your Customer Account will forfeit all continued access to and right to use, enjoy or benefit from any Gold Coins, Sweeps Coins and unredeemed Prizes associated with your Customer Account. You acknowledge and agree that: (a) account closure is permanent and irreversible unless UPTOWN, in its sole discretion, approves a request to reopen the account; (b) you must redeem all Prizes prior to requesting account closure, as UPTOWN has no obligation to process Prize redemptions after closure; (c) any pending Prize redemption requests at the time of closure may be cancelled at UPTOWN's discretion; and (d) UPTOWN may retain your personal information as required by law or for legitimate business purposes even after account closure.
5.15. If the reason behind the closure of your Customer Account is related to concerns about possible responsible social gameplay issues you must indicate this in your request to close your Customer Account. Further details are provided in our Responsible Social Gameplay Policy. If you close your account due to responsible social gameplay concerns, you acknowledge that: (a) UPTOWN may implement additional safeguards to prevent you from reopening an account; (b) any attempt to create a new account after such closure may be considered a material breach of these Terms and Conditions; and (c) UPTOWN may share information about your self-exclusion with third-party verification services to prevent circumvention of responsible gameplay measures.
5.16. You may be able to open your Customer Account again by sending a request to the Customer Support team. All requests for the re-opening of an account will be evaluated by our Customer Support and Compliance teams, who abide by strict customer protection guidelines. UPTOWN has sole and absolute discretion to approve or deny any request to reopen a closed account, and such decisions are final and not subject to appeal. UPTOWN may require additional identity verification, impose conditions on reopening, or deny reopening for any reason or no reason. If your account is reopened: (a) you will start with zero Gold Coins and Sweeps Coins unless UPTOWN, in its sole discretion, chooses to restore any balances; (b) any Prizes, bonuses, or promotional offers from the closed account will not be restored; and (c) UPTOWN may impose additional restrictions, monitoring, or verification requirements on your reopened account.
Discretion to Refuse or Close Accounts
5.17. We reserve the right to place limits on, suspend, close, or refuse to open a Customer Account in our sole discretion. If we close your Customer Account pursuant to clause 21.1 of these Terms and Conditions, the consequences set out in clause 21 shall apply. If we close your Customer Account for other reasons, we will make reasonable efforts to enable you to redeem any Prizes in your Customer Account, but any license to continued use, enjoyment or benefit of or from the Gold Coins and Sweeps Coins will be terminated. UPTOWN's decision to close, suspend, or refuse to open an account is final and not subject to review or appeal. You acknowledge that the UPTOWN has no obligation to provide detailed reasons for such actions and that demanding or requesting explanations does not entitle you to receive them. In cases where UPTOWN closes your account and does not enable Prize redemption due to suspected or actual violations, you forfeit all rights to any Gold Coins, Sweeps Coins, Prizes, and any other benefits, and UPTOWN may pursue any available legal remedies for your breach.
6. GAMES Rules
6.1. Games offered on the Platform may have their own rules, which are available on the Platform. It is your responsibility to read the rules of a Game before playing. You must familiarize yourself with the applicable terms of play and read the relevant rules before playing any Game. You acknowledge that: (a) ignorance of game rules does not excuse violations or disputes arising from gameplay; (b) UPTOWN may modify game rules at any time without prior notice; (c) continued play after rule modifications constitutes acceptance of the new rules; and (d) all game rules are incorporated into and form part of these Terms and Conditions. UPTOWN is not liable for any losses resulting from your failure to understand or follow game rules.
6.2. The Payment Method you use to purchase Gold Coins must be legally and beneficially owned by you and in your name. If it comes to our attention that the name you registered on your Customer Account and the name linked to your Payment Method differ, your Customer Account will be immediately suspended. Should your Customer Account be suspended, we recommend that you contact Customer Support at support@Uptownsweeps.com for details regarding our verification process. You acknowledge that: (a) using a Payment Method not in your name is a material breach of these Terms and Conditions; (b) UPTOWN may permanently close your account and forfeit all balances if verification is not successfully completed within the timeframe specified by UPTOWN; (c) UPTOWN may report suspected fraudulent payment activity to relevant authorities and financial institutions; and (d) you are solely responsible for any fees, penalties, or legal consequences resulting from use of unauthorized Payment Method s.
6.3. We reserve the right to request documents and information to verify the legal and beneficial ownership of the Payment Method you use to make Gold Coin purchases. We may grant or restrict access to certain Payment Method s at our sole discretion. UPTOWN may, at any time and without prior notice: (a) require additional verification documentation including but not limited to bank statements, utility bills, government-issued identification, or proof of address; (b) suspend your Customer Account and freeze all balances pending verification; (c) reject any Payment Method for any reason or no reason; (d) impose transaction limits or restrictions on your account; and (e) reverse or void any transactions made with unverified or suspicious Payment Method s. Failure to provide requested verification within 14 calendar days (or such other timeframe as UPTOWN specifies) may result in permanent account closure and forfeiture of all balances.
6.4. You agree that we and our Payment Administration Agents and payment facilitators may store your payment information (e.g., card number or token) to process your future purchases. By accepting these Terms and Conditions, you authorize UPTOWN and our Payment Administration Agents and payment facilitators to store your payment credentials in compliance with applicable payment processing regulations. You acknowledge that stored payment information may be retained even after account closure to the extent permitted by law.
6.5. UPTOWN begins processing a payment for the purchase of Gold Coins when you click on the “MAKE PAYMENT” button. By clicking this button, you: (a) authorize UPTOWN to immediately charge the full amount; (b) acknowledge that the transaction cannot be cancelled once processing begins; (c) agree that payment processing times may vary depending on your Payment Method and financial institution; and (d) accept full responsibility for ensuring sufficient funds are available in your Payment Method . UPTOWN is not responsible for any overdraft fees, insufficient funds fees, or other charges imposed by your financial institution.
6.6. No Refunds. Purchases of Gold Coins are final and are not refundable, transferable or exchangeable. You agree to notify us about any billing problems or discrepancies within 30 calendar days from the date of your purchase. If you do not bring them to our attention within 30 calendar days, you agree that you waive your right to dispute such problems or discrepancies. You are responsible for and agree to reimburse us for all reversals, charge-backs, claims, fees, fines, penalties and any other liability incurred by us (including costs and related expenses) that were caused by or arising out of payments that you authorized or accepted or that were authorized or accepted using your Customer Account (even if not authorized by you).
Gold Coin and Sweeps Coins Balance
6.7. You may participate in any Game only if you have sufficient Gold Coins or Sweeps Coins (as applicable) in your Customer Account for such Participation. We will not extend you any credit whatsoever for the purchase of Gold Coins or otherwise. For players residing in territories where the legislation requires otherwise, the currency wallet will be supplied with sufficient balance to continue playing. UPTOWN reserves the right to: (a) limit the maximum balance of Gold Coins or Sweeps Coins that may be held in any Customer Account; (b) adjust, correct, or void balances that result from technical errors, malfunctions, or unauthorized activities; (c) remove expired or forfeited coins from your account without notice; and (d) impose minimum balance requirements for certain features or redemptions.
6.8. From time to time, we may assign minimum or maximum Gold Coin purchases as specified and offered on the Platform. UPTOWN may modify purchase limits at any time without prior notice based on: (a) regulatory requirements; (b) risk management considerations; (c) payment processor limitations; (d) your account status or history; or (e) any other reason in UPTOWN's sole discretion. You are not entitled to any specific purchase amounts or limits.
6.9. Once a Gold Coin purchase has been made, the funds will be drawn from your Payment Method as soon as practicable. You acknowledge that: (a) "as soon as practicable" may range from immediate to several business days depending on payment method and processor; (b) Gold Coins will only be credited to your account after payment is successfully processed and cleared; (c) UPTOWN may place holds on newly purchased Gold Coins pending verification or security reviews; and (d) UPTOWN is not liable for any delays in payment processing caused by third-party payment processors or financial institutions.
6.10. The purchase of Gold Coins is the purchase of a license that allows you to Participate in Standard Play Games and is not the deposit of funds which can be withdrawn. Funds used to purchase Gold Coins will not, and cannot, be refunded to you, except as provided for in clause 6.6. Gold Coins do not have any real money value. You expressly acknowledge and agree that: (a) Gold Coins are virtual items with no monetary value outside the Platform; (b) Gold Coins cannot be exchanged for cash, cryptocurrency, or any other form of real-world value; (c) you have no ownership rights in Gold Coins - you are merely granted a limited, revocable license to use them; (d) all Gold Coin purchases are final sales of a license, not deposits; and (e) UPTOWN may revoke, modify, or eliminate Gold Coins at any time without compensation to you.
6.11. Gold Coins or Sweeps Coins that have been submitted for play and accepted cannot be changed, withdrawn or cancelled and the Gold Coins or Sweeps Coins (whichever applicable) will be drawn from your Gold Coin or Sweeps Coins balance instantly.
6.12. If you are found to have one or more of your purchases returned or reversed or charged back, your Customer Account will be suspended. If this occurs, the amount of such purchases will constitute a debt owed by you to us and you must immediately remit payment for such purchases through an alternative payment method. Until payment is received by us or our Payment Administration Agent, any purchases and winnings will be deemed void and requests to redeem Sweeps Coins for Prizes will not be allowed. You further acknowledge that: (a) UPTOWN may immediately terminate your account for multiple chargebacks or payment disputes; (b) any winnings or Prizes obtained using funds subject to chargeback are void and must be returned; (c) UPTOWN may report the debt to collection agencies and pursue legal action for recovery; (d) you will be responsible for all collection costs, legal fees, and court costs incurred by UPTOWN in recovering the debt; (e) your account will remain suspended until the debt is paid in full plus any applicable fees; and (f) UPTOWN may permanently ban you from creating future accounts even after debt repayment.
6.13 In accordance with the Sweepstakes Rules:
(a) unless we require otherwise in accordance with clause 6.13(b), any Sweeps Coin allocated to you is only required to be played once before it is eligible to be redeemed as a Prize; and
(b) we may, in our sole discretion, require that any Sweeps Coins allocated to you be played a greater number of times (not exceeding 20) in any combination of Promotional Play Games before it is able to be redeemed as a Prize.
(c) UPTOWN reserves the right to: (i) modify playthrough requirements at any time for future Sweeps Coin allocations; (ii) apply different playthrough requirements based on how Sweeps Coins were obtained (e.g., free entry vs. bonus); (iii) exclude certain games from counting toward playthrough requirements; (iv) void Sweeps Coins and associated winnings if playthrough requirements are not met within a specified timeframe; and (v) implement additional terms or restrictions on Sweeps Coin redemption to comply with applicable sweepstakes laws.
Void Games
6.14. We reserve the right to declare Participation in a Game void, partially or in full, if, in our sole discretion, we deem it obvious that there was an error, mistake, misprint or technical error on the pay-table, win-table, minimum or maximum stakes, odds or software. UPTOWN may void gameplay and reverse winnings in the following additional circumstances: (a) suspected or confirmed cheating, collusion, or exploitation of game mechanics; (b) use of unauthorized software, bots, or automated systems; (c) technical malfunctions or errors affecting game fairness or outcomes; (d) participation in games from restricted territories; (e) breach of these Terms and Conditions or game-specific rules; (f) abnormal gameplay patterns detected by UPTOWN's fraud prevention systems; or (g) any other circumstance where UPTOWN determines, in its sole discretion, that gameplay integrity has been compromised. In such cases, UPTOWN may: (i) void all affected gameplay and winnings; (ii) remove winnings from account balances; (iii) reverse Prize redemptions; (iv) suspend or terminate Customer Accounts; and (v) pursue legal remedies. UPTOWN's determination of void gameplay is final and not subject to appeal.
Final Decision
6.15. In the event of a discrepancy between the result showing on a user’s device and the UPTOWN server software, the result showing on the UPTOWN server software will be the official and governing result. You waive any right to legal action based on disputes regarding gameplay results where UPTOWN's server records are clear and consistent
7. PROMOTIONS
7.1. All promotions, including Games played in Promotional Play, contests, special offers and bonuses, are subject to these Terms and Conditions, the Sweepstakes Rules and to additional terms that may be published at the time of the promotion.
7.2. In the event and to the extent of any conflict between these Terms and Conditions and any promotion-specific terms and conditions, the promotion-specific terms and conditions will prevail.
7.3. UPTOWN reserves the right, at its sole discretion, to withdraw or modify such promotions (including their availability) without prior notice to you.
7.4. If, in the reasonable opinion of UPTOWN, we form the view that a Registered Customer is abusing any promotion, to derive any advantage or gain for themselves or other Registered Customers, including by way of Fraudulent Conduct, we may, at our sole discretion, withhold, deny or cancel any advantage, bonus or Prize as we see fit.
7.5. Without limiting clause 12.4, you confirm that you grant UPTOWN an irrevocable, perpetual, worldwide, non- exclusive, royalty-free license to use in whatever way we see fit, and without further acknowledgement of you as the author, any Content you post or publish as part of a promotion, contest or competition.
8. REDEMPTION OF PRIZES
Prize Redemption Methods
8.1. Subject to these Terms and Conditions:
(a) When you choose to redeem Prizes for cash, the cash payment will be made to the Payment Method from which you purchased Gold Coins, or if this is not technically possible, then to an alternative financial account you nominate, provided that account is legally and beneficially owned by you. We reserve the right to require the use of the same payment method for redemption of Prizes as was used to purchase Gold Coins, or a specific payment method at our own discretion. You acknowledge that: (i) UPTOWN has absolute discretion to determine what is "technically possible" and may require redemption through the original Payment Method even if alternatives exist; (ii) UPTOWN may require extensive verification of alternative financial accounts including proof of ownership, bank statements, and authorization letters; (iii) UPTOWN may refuse to process redemptions to certain types of accounts including cryptocurrency wallets, prepaid cards, or accounts in jurisdictions UPTOWN deems high-risk; (iv) redemption methods may be limited based on your location, Payment Method used for purchases, redemption amount, or other factors at UPTOWN's sole discretion; and (v) UPTOWN may change available redemption methods at any time without prior notice.
Limits and Fees
8.2. We reserve the right to charge fees for processing the redemption of Prizes to you and to set a minimum redemption threshold for Prize redemptions. You acknowledge and agree that: (a) processing fees may be charged at UPTOWN's sole discretion and may vary based on redemption method, amount, frequency, or other factors; (b) fee structures may be changed at any time without prior notice; (c) fees will be deducted from your Prize redemption amount; (d) minimum redemption thresholds may be set or modified at UPTOWN's discretion and may differ based on redemption method (e.g., gift cards vs. cash) or your account status; (e) UPTOWN may impose maximum redemption limits in addition to minimums; (f) fees and thresholds will be displayed at the time of redemption, but UPTOWN has no obligation to notify you in advance of changes; (g) third-party fees charged by payment processors, banks, or gift card providers may also apply and are your sole responsibility; and (h) all fees are non-refundable even if a redemption is subsequently voided or reversed.
8.3. In Florida, the maximum redemption value for a Prize won on any one spin or play is USD $5,000 and any Prize with a value more than USD $5,000 will be reduced to a maximum value of USD $5,000.
8.4. We reserve the right, in our sole discretion, to limit the value of your Prize redemptions to:
(a) USD$5,000 per day; or
(b) any other amount over any time that we consider necessary to satisfy our regulatory obligations or the requirements of our partners and suppliers;
(c) any amount based on your account history, gameplay patterns, verification status, payment method, jurisdiction, or any other factor UPTOWN deems relevant;
(d) we reserve the right to temporarily suspend the players accounts for additional games supplier data verification for 30 days in the following cases:
• where a player’s account wins 3 times within a period of 30 consecutive days an amount
• equal or higher than USD $5,000 where a player’s account wins within a period of 30 consecutive days an amount equal or higher than USD $20,000;
• where UPTOWN identifies unusual gameplay patterns, suspicious activity, or other circumstances warranting investigation.
Your Responsibility for Prize Redemptions and Accuracy of Details
8.5.
8.6. When you choose to redeem Prizes for cash, it is your sole responsibility to ensure that your financial institution will accept payment from us into your bank account. UPTOWN has no obligation to check whether your financial institution will accept payments from us to your nominated bank account. You acknowledge and agree that: (a) some banks and financial institutions refuse or block payments from gaming-related businesses, cryptocurrency exchanges, or certain payment processors; (b) it is entirely your responsibility to confirm with your financial institution in advance that they will accept payments from UPTOWN; (c) if your financial institution rejects, blocks, or returns a payment, UPTOWN may: (i) charge you administrative fees for the returned payment; (ii) require you to nominate an alternative account; (iii) suspend your account pending resolution; or (iv) void the Prize redemption if an acceptable alternative cannot be arranged; (d) UPTOWN is not liable for any delays, fees, or losses resulting from your financial institution's refusal to accept payments; (e) you are responsible for any fees charged by your financial institution for receiving, processing, or returning payments; and (f) UPTOWN may blacklist financial institutions that repeatedly reject payments and refuse future redemptions to such institutions.
8.7. Subject to clause 8.9, we will not make payments into an account or online wallet which does not match your verified name or the name you provided when registering your Customer Account, or that is not legally and beneficially owned by you. We reserve the right to request, at our sole discretion, further documentation before the processing of a payment or redemption.
8.8. Prizes redeemed for cash:
(a) will be paid into a joint account or joint wallet provided that one of the names on the joint account or joint wallet matches the name you provided when registering your Customer Account or your verified name and all verification checks we require in relation to you and the other account holder are completed to our satisfaction. For the avoidance of doubt, if either joint account holder does not satisfy our verification requirements, as determined solely at our discretion, we will not make payments into the nominated joint account;
(b) will not be paid into:
• a joint account or joint wallet where one of the joint owners is a minor; or
• custodial accounts; or
• any account held on trust for, or for the benefit of, a third party (including a minor).
8.9. Where you are required to provide the details of your financial institution, bank account or online wallet, you agree that you are solely responsible for the accuracy of those details. You further agree that, where you have chosen to redeem a Prize for cash and the details you have provided are not accurate, and we have processed the payment using the details you have provided, the redemption of that Prize is complete, and we cannot and are not required to reverse or reissue the payment. You acknowledge and agree that: (a) UPTOWN has no obligation to verify account numbers, routing numbers, IBAN codes, SWIFT codes, or any other banking details you provide; (b) if funds are sent to an incorrect account due to your error, those funds are irrecoverably lost and UPTOWN has no obligation to recover them or reissue the payment; (c) UPTOWN will not assist in recovering misdirected payments and you must pursue recovery directly with the financial institutions involved; (d) even if the incorrect account belongs to another person or entity, UPTOWN's obligation to pay the Prize is fully satisfied upon processing the payment to the details you provided; (e) you are responsible for double-checking all banking details before submitting redemption requests; (f) UPTOWN may provide a confirmation screen showing the details you entered, but you remain solely responsible for accuracy; (g) typographical errors, transposed numbers, or any other mistakes are entirely your responsibility; and (h) this provision applies even to high-value Prizes - UPTOWN will not reissue payments of any amount due to incorrect details you provided.
8.10. You acknowledge and agree that, if your financial institution will not accept payments from UPTOWN or where your bank account or online wallet does not meet the requirements in these Terms and Conditions:
(a) you will be required to nominate an alternative bank account for the payment;
(b) there will be delays in the processing of the payment to you; and
(c) if you are unable to nominate an alternative bank account which meets the requirements set out in these Terms and Conditions within 60 days of a request from us to do so, UPTOWN is not obliged to make the relevant payments to you and may in its discretion deem the Prizes to be void.
Currency
8.11. All Gold Coin purchases, and direct bank transfer payments are executed in USD. It is a Player’s responsibility to ensure that their nominated bank account can accept transactions in USD. ou acknowledge that: (a) UPTOWN does not offer redemptions in currencies other than USD unless explicitly stated otherwise; (b) if your bank account is denominated in a different currency, your financial institution will convert the USD payment to your local currency using their exchange rate; (c) you have no control over the exchange rate applied by your financial institution; (d) exchange rates fluctuate constantly and the amount you receive in local currency may be significantly less than the USD amount due to unfavorable rates; (e) UPTOWN is not responsible for exchange rate losses or unfavorable conversions; (f) you waive any claims against UPTOWN for currency conversion losses; and (g) if your bank rejects USD payments, you must nominate an alternative account that accepts USD or forfeit the Prize pursuant to clause 8.11(c).
8.12. All foreign exchange transaction fees, charges or related costs that you may incur as a result of, or in relation to, payments made by the UPTOWN to you are to be borne solely by you, including but not limited to any losses or additional costs arising from foreign exchange fluctuations. You further acknowledge and agree that: (a) foreign exchange fees may include but are not limited to: currency conversion fees, international wire transfer fees, intermediary bank fees, receiving bank fees, and correspondent bank fees; (b) these fees may be substantial and may significantly reduce the net amount you receive; (c) UPTOWN has no control over and cannot predict the exact fees that will be charged; (d) UPTOWN will not reimburse or compensate you for any foreign exchange fees or costs; (e) if fees are deducted from the payment in transit, you will receive less than the full Prize amount and UPTOWN has no obligation to make up the difference; (f) you should consult with your financial institution to understand all potential fees before requesting a redemption; (g) choosing to redeem Prizes despite knowledge of potential fees constitutes acceptance of those fees; and (h) UPTOWN may deduct estimated intermediary fees from Prize redemptions if required by payment processors or if UPTOWN determines such deduction is necessary.
Timing and Frequency for Prize Redemptions
8.13. We process requests to redeem Prizes in the order in which they are received. Our goal is to process your request as soon as practicable. You acknowledge that: (a) "as soon as practicable" is not a guarantee of any specific timeframe and depends on numerous factors, including verification status, redemption method, payment processor availability, banking hours, weekends, or holidays.
8.14. We reserve the right to process only one Prize redemption request per Customer Account in any 24-hour period.
8.15. Where you choose to redeem Prizes for cash you acknowledge and agree that it may take up to 30 days to process the relevant payment into your nominated bank account.
8.16. There may be delays in payments due to our identity verification process and certain Payment Method s will require additional verification at the time of redemption.
8.17. Payments of over US$5,000 may require a longer processing time than usual due to bank clearance and security and fraud checks and may also be paid in more than one lump sum. This may add up to 7 days to the normal processing time but is dependent on the circumstances of each individual case.
8.18. Without limiting clause 8.2, you can request to redeem a Prize of any value; however, we reserve the right to:
(a) reject a Prize redemption request on the basis that it exceeds the limits referred to in clause 8.3 or 8.4; or
(b) allocate or pay Prizes in smaller increments over a number of days until all of the Prize has been allocated or paid. You acknowledge that: (i) UPTOWN's right to reject redemptions includes the ability to permanently refuse redemptions that consistently exceed limits; (ii) when Prizes are paid in increments, each increment may be subject to separate fees, verification, and processing times; (iii) UPTOWN determines the size and frequency of increments at its sole discretion; (iv) you have no right to demand the full Prize be paid immediately even if you are willing to accept lower amounts; (v) incremental payments may occur over weeks or months for very large Prizes; (vi) UPTOWN may pause incremental payments at any time to conduct additional verification or fraud checks; (vii) accepting one increment does not guarantee subsequent increments will be paid if issues arise; and (viii) UPTOWN may modify the incremental payment schedule at any time.
Payment Administration Agent
8.19. You acknowledge and agree that we may in our sole discretion, from time to time, appoint one or more Payment Administration Agents to accept or make payments (including merchant facilities) from or to Players on our behalf.
8.20. A Payment Administration Agent will have the same rights, powers and privileges that we have under these Terms and Conditions and will be entitled to exercise or enforce their rights, powers and privileges as our agent or in their own name. In no event will we be liable to any Player for any loss, damage or liability resulting from the Payment Administration Agent's negligence or acts beyond the authority given by UPTOWN.
Expiry and Forfeiture
8.21. Sweeps Coins are only valid for 60 days from the date you last logged on to your Customer Account and will thereafter automatically expire.
8.22. Sweeps Coins may be forfeited if a Customer Account is closed for any reason, or at our discretion. You acknowledge and agree that: (a) UPTOWN has absolute discretion to forfeit Sweeps Coins at any time for any reason including suspected fraud, Terms violations, failed verification, chargebacks, abuse of promotions, or risk management; (b) forfeiture may occur without prior notice or opportunity to redeem; (c) forfeited Sweeps Coins cannot be recovered or reinstated; (d) UPTOWN is not required to provide reasons for discretionary forfeiture; (e) closure of your account for any reason - voluntary, involuntary, or by mutual agreement - results in automatic forfeiture of all unredeemed Sweeps Coins; (f) you have no vested property right in Sweeps Coins and they exist solely as entries in UPTOWN's sweepstakes promotions; (g) UPTOWN may forfeit Sweeps Coins earned through gameplay that is later determined to violate Terms, even if the violation was not detected immediately; (h) partial forfeiture is permitted - UPTOWN may forfeit some but not all of your Sweeps Coins; and (i) forfeiture is in addition to any other remedies UPTOWN may pursue including account termination, legal action, or reporting to authorities.
Updating Payment Details
8.23. Updating or adding additional payment details for the sole purpose of redeeming Prizes may only be done by you when logged into your Customer Account and when you are undergoing the process of redeeming a Prize. We cannot update or add additional payment details on your behalf. You acknowledge that: (a) UPTOWN will never request your banking details via email, phone, text message, or any communication method outside the secure redemption interface; (b) you are responsible for ensuring the security of your account when entering payment details; (c) UPTOWN employees and Player Support Team members cannot and will not update payment information for you, even if you request such assistance; (d) requests to have payment details updated by staff will be refused; (e) if you are unable to access your account to update payment details, you must resolve the access issue before you can redeem Prizes; (f) UPTOWN may require re-verification of identity before allowing payment detail updates; (g) changes to payment details may trigger additional verification requirements and processing delays; and (h) you should never share your account credentials with anyone claiming they can update payment details on your behalf.
Refused Prizes
8.24. If you choose to redeem Prizes for cash but refuse to accept payments made to your nominated bank account by UPTOWN, you must refuse the amount in its entirety. Where you refuse to accept payment to your nominated bank account more than twice in any 3-month period, UPTOWN reserves the right to suspend your Customer Account to undertake investigations to ensure that the Platform is not being used as a vehicle for fraudulent activity.
Mistaken Additions
8.25. If at any time we mistakenly add Gold Coins or Sweeps Coins to your Customer Account that do not belong to you, whether due to a technical error, human error or otherwise, the Gold Coins or Sweeps Coins added by mistake will remain UPTOWN property and will be deducted from your Customer Account. If you become aware that you have mistakenly received a prize redemption that does not belong to you prior to us becoming aware of the error, the mistakenly paid amount will (without prejudice to other remedies and actions that may be available at law) constitute a debt owed by you to us. In the event you discover an incorrect addition of Gold Coins or Sweeps Coins, you are obliged to notify Customer Support by using the “Contact” link on the Platform without delay. You further acknowledge and agree that: (a) you have no right to retain mistakenly credited Gold Coins, Sweeps Coins, or Prize payments under any circumstances; (b) UPTOWN may deduct mistaken credits from your account balance immediately upon discovery, even if you have already
9. VERIFICATION
Verification Checks
9.1. You agree that we are entitled to conduct any identification, credit and other verification checks that we may reasonably require or that are required of us under applicable laws and regulations or by relevant regulatory authorities or to otherwise prevent financial crime. You further acknowledge and agree that: (a) UPTOWN has absolute discretion to determine what verification checks are "reasonably required" and such determination is final; (b) verification checks may be conducted at any time, including at initial registration, before Prize redemption, periodically during account usage, or whenever UPTOWN deems necessary; (c) UPTOWN may use automated systems, artificial intelligence, biometric verification, facial recognition technology, document authentication services, and other advanced verification methods; (d) UPTOWN may conduct checks through third-party verification providers who may retain your information in accordance with their own policies; (e) verification requirements may include but are not limited to: government-issued photo identification, proof of address, proof of payment method ownership, social security number or tax identification number, biometric data including facial scans and fingerprints, video verification calls, notarized documents, and source of funds documentation; (f) UPTOWN may require re-verification at any time if circumstances change or if UPTOWN suspects fraud, identity theft, or violation of these Terms; (g) failure to successfully complete verification checks will result in restrictions on your account including inability to redeem Prizes; (h) UPTOWN may report suspicious activity or failed verification attempts to relevant authorities including law enforcement, regulatory bodies, and fraud prevention databases; and (i) you waive any privacy claims related to UPTOWN's verification procedures conducted in accordance with applicable laws and these Terms.
9.2. Until all required verification checks are completed to our satisfaction:
(a) any request you have made for redemption of Prizes will remain pending; and
(b) we are entitled to restrict your Customer Account in any manner that we may reasonably deem appropriate, including by suspending or closing your Customer Account. You acknowledge that: (i) "completed to our satisfaction" means UPTOWN's sole and absolute determination that verification is adequate, and UPTOWN may impose higher verification standards than legally required; (ii) Prize redemption requests may remain pending indefinitely if verification is not completed, and UPTOWN has no obligation to process redemptions until verification is satisfactory; (iii) UPTOWN may impose partial or complete restrictions on your account including but not limited to: freezing all balances, prohibiting gameplay, blocking deposits, preventing withdrawals, limiting bet amounts, or restricting access to certain features; (iv) pending verification does not accrue interest or additional value on your Prizes or balances; (v) if verification cannot be completed, UPTOWN may permanently close your account and forfeit all balances in accordance with clause 9.4; and (vi) UPTOWN is not liable for any losses, missed opportunities, or damages resulting from account restrictions during the verification process.
9.3. We might carry out additional verification procedures in accordance with our internal anti- financial crime policies, including without limitation for any cumulative or single redemption of Prizes exceeding a value of USD$2,000. Verification procedures may, for example, include requests for, and our examination of, copies of your:
(a) identification documentation (including photo identification) such as a passport, driver's license, national identity card, or other government-issued identification, and UPTOWN may require multiple forms of identification;
(b) proof of your address such as a utility bill, bank statement, government correspondence, lease agreement, or property tax statement, dated within the past 3 months (or such other timeframe as UPTOWN specifies); and
(c) source of wealth or source of funds documentation such as a pay slip or bank statement, tax returns, proof of employment, investment statements, inheritance documentation, business ownership records, or any other documentation demonstrating the legitimate origin of funds used on the Platform.
UPTOWN may also require:
(d) proof of payment method ownership, including copies of credit/debit cards (with certain numbers obscured for security), bank account statements, screenshots of e-wallet accounts, or authorization letters from financial institutions;
(e) selfie photographs or video verification holding your identification document and a written note with the current date and "UPTOWN" or a code provided by UPTOWN;
(f) notarized affidavits or certified copies of documents;
(g) references from financial institutions or professional advisors;
(h) employment verification letters or business registration documents;
(i) wealth declarations or asset disclosure statements;
(j) tax identification numbers or social security numbers;
(k) explanations of gambling activity patterns or large transactions; and
(l) any other documentation UPTOWN deems necessary to comply with anti-money laundering laws, counter-terrorist financing regulations, know-your-customer requirements, or responsible gaming policies.
The USD$2,000 threshold is not a guarantee that verification will only be required above that amount – UPTOWN reserves the right to require enhanced verification for any redemption amount or cumulative account activity at its sole discretion.
9.4. Where any identification, credit or other verification check we require cannot be completed to our satisfaction because you have not provided any document we request from you in the form that we require within 15 days of the date the document was first requested, then we are under no obligation to continue with the verification check and we may, in our sole discretion, close or otherwise restrict your Customer Account in any manner that we may reasonably deem appropriate. You acknowledge and agree that: (a) the 15-day deadline is strictly enforced and UPTOWN is not obligated to grant extensions except at its sole discretion; (b) "in the form that we require" means documents must meet UPTOWN's quality, format, clarity, and authentication standards, and UPTOWN may reject documents that are blurry, expired, incomplete, altered, or otherwise inadequate; (c) UPTOWN may request the same document multiple times if initial submissions are unsatisfactory; (d) if verification is not completed within the specified timeframe, UPTOWN may: (i) permanently close your Customer Account; (ii) forfeit all Gold Coins, Sweeps Coins, and unredeemed Prizes without refund or compensation; (iii) void all pending transactions; (iv) report the failed verification to fraud prevention databases; and (v) ban you from creating future accounts; (e) after account closure for failed verification, you have no right to access your account, retrieve data, or claim any balances; (f) UPTOWN may retain your information even after account closure for legal, regulatory, fraud prevention, and record-keeping purposes; (g) if you later attempt to complete verification after the deadline, UPTOWN has no obligation to reopen your account or restore forfeited balances; (h) UPTOWN's determination that verification was not satisfactorily completed is final and not subject to appeal; and (i) you waive all claims against UPTOWN for any losses resulting from your failure to complete verification within the required timeframe.
9.5. Players who request the redemption of Prizes held in a suspended or closed Customer Account should contact Customer Support at support@Uptownsweeps.com. Nothing in this provision should be construed as conveying a right to any such redemption. Your rights in that regard are as set out elsewhere in these Terms and Conditions. You acknowledge that: (a) UPTOWN has no obligation to process Prize redemptions from suspended or closed accounts; (b) the Player Support Team will evaluate such requests on a case-by-case basis at UPTOWN's sole discretion; (c) UPTOWN may condition Prize redemption on completion of additional verification procedures, payment of outstanding debts or fees, resolution of disputes, or other requirements; (d) UPTOWN may refuse to redeem Prizes if the account was closed due to Terms violations, fraudulent activity, failed verification, chargebacks, or any other breach; (e) even if UPTOWN agrees to process a redemption from a closed account, it may deduct administrative fees, processing costs, or amounts owed to UPTOWN; (f) the timeline for processing redemptions from closed accounts is not guaranteed and may take significantly longer than normal redemptions; and (g) UPTOWN's decision regarding redemption requests from closed accounts is final and not subject to review or appeal.
External Verification Checks
9.6. You agree that UPTOWN may use third party service providers to run external identification and other verification checks on all Customers based on the information provided by you from time to time.
9.7. You expressly consent to and acknowledge that: (a) third-party verification providers may include identity verification services, credit bureaus, fraud prevention databases, government databases, sanctions screening services, biometric authentication providers, document verification specialists, and other verification partners; (b) UPTOWN may share your personal information including name, date of birth, address, identification documents, financial information, biometric data, and any other information necessary for verification purposes with such third parties; (c) third-party providers may retain your information in accordance with their own privacy policies and data retention practices, which may differ from UPTOWN's policies; (d) third-party verification checks may include but are not limited to: identity verification, age verification, address verification, document authentication, facial recognition matching, fraud risk scoring, sanctions screening, politically exposed person (PEP) screening, adverse media checks, credit checks, and criminal background checks; (e) information obtained from third-party checks may be used by UPTOWN to determine your eligibility, assess risk, prevent fraud, comply with legal obligations, and make decisions regarding your account status and Prize redemptions; (f) you authorize UPTOWN to obtain your credit report, conduct background checks, and access public records as part of verification procedures; (g) third-party verification providers may be located in countries with different data protection standards than your country of residence, and you consent to such international data transfers; (h) UPTOWN is not responsible for errors, delays, or inaccuracies in third-party verification results, but may rely on such results in making account decisions; (i) you will not hold UPTOWN liable for any adverse consequences resulting from information contained in third-party verification reports, including denial of service or account closure; (j) UPTOWN may conduct ongoing or periodic verification checks throughout your relationship with the Platform, not only at initial registration; and (k) you waive any claims against UPTOWN or its third-party verification providers related to the verification process, except for claims arising from gross negligence or willful misconduct.
10. RESPONSIBLE SOCIAL GAMEPLAY
10.1. UPTOWN actively supports responsible social gameplay and encourages its Players to make use of a variety of responsible social gameplay features. You may, at any time, request to take a break, self-exclude or permanently close your Customer Account. You may also set a limit on your purchases of Gold Coins, the amount of Sweeps Coins you play or the time you spend logged into your Customer Account. We refer you to our Responsible Social Gameplay Policy for full details.
10.2. UPTOWN is committed to providing excellent customer service. As part of that pledge, UPTOWN is committed to supporting responsible social gameplay. Although UPTOWN will use all reasonable endeavors to enforce its responsible social gameplay policies, UPTOWN does not accept any responsibility or liability if you nevertheless continue gameplay and/or seek to use the Platform with the intention of deliberately avoiding the relevant measures in place and/or UPTOWN is unable to enforce its measures/policies for reasons outside of UPTOWN’s reasonable control.
